  1. Distribution Company Joint Venture. The firm represented a preeminent, multi-state family-held alcoholic and non-alcoholic beverage distribution company in connection with the formation of a joint venture with another preeminent, family-held alcoholic and non-alcoholic beverage distribution company.  The joint venture will have revenues in excess of $5.6 billion, operations in 16 states, with more than 7,000 employees.  The firm was instrumental in negotiating the transaction, preparing definitive documents and advising the client through complex due diligence, governance, regulatory compliance, licensing, and other transitional matters.

  2. Sale of Oil Distribution Business Assets. Represented the owner/operator of a Midwest-based oil and lubricants products distribution business in an asset sale transaction.

  3. Sale of Alcoholic Beverage Distribution Business. Represented the seller in the sale of distribution rights, equipment and related operations assets for an alcoholic beverage distribution business.

  4. Sale of Physical Therapy Business. Represented a chain of physical therapy clinics throughout the Chicagoland area in connection with the sale of its assets to a larger concern.

  5. Corporate Recapitalization of Car Dealership. Represented a car sales and financing business in a recapitalization transaction in which holders of debt instruments converted debt into equity.

  6. Equity Acquisition in Beverage Distribution Business. Represented a client in the negotiation and acquisition of an equity position in a state-wide, multi-facility, alcoholic and non-alcoholic beverage distribution business.

  7. Sale of Electrical Conduit Fitting Business. Represented a manufacturer of electrical conduit fittings in the sale of its assets to a strategic purchaser.

  8. Sale of Dry Dock Business. Represented a dry docking business in connection with the sale of the business assets and the real estate on which the client had operated the business.

  9. Equity Investment in Startup. Represented a client in connection with an equity investment in a travel and hunting guide management services startup.

  10. Sale of IT Staffing Company. Represented an IT staffing provider in the sale of its assets to a strategic purchaser, which transaction involved an equity position for the seller.

  11. Distribution Business Sales. Represented a beer and wine distribution business in the sale of a number of brand distribution rights, equipment and related operating assets over multiple transactions.

  12. Sale of Equity Interests in Real Estate Development Entity.  Represented the capital partners of an entity which developed an outdoor shopping center in Kansas City in connection with the sale of their equity interests to their operating partner.
